These Terms & Conditions (“Terms”) govern your access to and use of instituteofmindfulmedicine.com and its related webpages, forms, content, and features (collectively, the “Website”). The Website is operated by the Institute of Mindful Medicine (“IMM,” “we,” “us,” or “our”).
Please read these Terms carefully. By accessing or using the Website, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Website. If you use the Website on behalf of a business, practice, or other organization, you represent that you are authorized to act on its behalf.
The Website provides general information about IMM, its clinician-training programs, faculty, educational framework, dates, application process, and related professional opportunities. Website content is provided for general informational and educational purposes and may not describe every term, requirement, limitation, or feature of a particular program.
IMM may update, correct, suspend, or discontinue any part of the Website or its content at any time. Program dates, faculty, curricula, availability, locations, and other details may change when reasonably necessary.
IMM programs are designed for appropriately licensed healthcare professionals and other applicants expressly approved by IMM. Program eligibility may depend on professional credentials, licensure, experience, scope of practice, location, and other factors.
Submitting an inquiry or application does not guarantee acceptance, enrollment, a reserved training seat, or eligibility for any clinical or experiential component. IMM may verify information, request additional documentation, approve or decline an applicant, or determine that a program is not appropriate for an applicant.
You agree that information submitted through the Website or an application form will be accurate, current, and complete. You may not impersonate another person, misrepresent your credentials or authority, or submit information you are not authorized to provide.
Enrollment is not complete until all required steps have been satisfied, which may include IMM approval, execution of the applicable Training Enrollment, Participation and Cancellation Agreement, completion of required forms, and receipt of payment.
Tuition, payment deadlines, refunds, cancellations, transfers, attendance, conduct, program materials, clinical support, experiential opportunities, and other program-specific obligations are governed by the enrollment agreement and other documents provided for the applicable program.
If these Website Terms conflict with a signed enrollment agreement or program-specific document, the signed agreement or program-specific document controls with respect to that program.
Website content is educational and is not medical advice, diagnosis, treatment, legal advice, regulatory advice, or a substitute for professional consultation. Use of the Website does not create a physician-patient, clinician-patient, attorney-client, consulting, fiduciary, or other professional relationship with IMM, its faculty, Priority You MD, or any affiliated person or entity.
Do not use the Website to seek emergency assistance, obtain medical care, or transmit patient-identifying information or protected health information. If you are experiencing a medical emergency, call 911 or obtain appropriate emergency assistance.
Any optional clinical or experiential service offered in connection with training is separate from Website use and is subject to an independent medical evaluation, eligibility determination, informed consent, clinical documentation, and the applicable provider’s policies. Participation is not guaranteed, and declining or being found ineligible for an optional clinical experience does not alter the Website Terms or create a right to a tuition adjustment except as expressly stated in a signed enrollment agreement.
IMM training and Website content do not grant a professional license, expand a participant’s legal scope of practice, authorize the purchase or administration of any medication, or replace independent education, supervision, credentialing, facility approvals, prescribing authority, or legal and regulatory compliance.
Healthcare laws, professional-board requirements, prescribing rules, supervision requirements, facility standards, and accepted clinical practices vary by profession and jurisdiction and may change over time. Each clinician and organization is solely responsible for:
determining whether and how information may lawfully and appropriately be used;
practicing within all applicable licenses, credentials, competencies, and scopes of practice;
exercising independent clinical judgment;
obtaining appropriate patient consent and maintaining proper records;
meeting professional, ethical, safety, facility, prescribing, and supervision requirements; and
consulting qualified legal, regulatory, insurance, accounting, or clinical professionals when appropriate.
Any certificate, designation, directory listing, membership status, or recognition offered by IMM reflects only the applicable IMM requirements. Unless expressly stated otherwise in writing, it is not a degree, professional license, board certification, governmental credential, or authorization to practice a profession or provide a particular service.
IMM does not guarantee that participation will result in licensure, credentialing, insurance coverage, reimbursement, regulatory approval, patient outcomes, professional advancement, practice growth, revenue, profitability, or any other particular result. Testimonials and examples describe individual experiences and are not promises or guarantees of typical or future results.
The Website and its contents—including text, graphics, logos, trademarks, photographs, videos, course descriptions, frameworks, downloads, page design, and other materials—are owned by or licensed to IMM and are protected by intellectual-property and other laws.
IMM grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Website for lawful personal or internal professional informational purposes. Except as permitted by law or expressly authorized in writing, you may not:
copy, reproduce, republish, distribute, sell, license, display, transmit, or create derivative works from Website content;
use IMM names, logos, marks, program names, or branding in a manner suggesting authorization, certification, affiliation, endorsement, or partnership;
remove copyright, trademark, or proprietary notices;
record, scrape, systematically extract, or commercially exploit Website content; or
use Website or program content to create, market, or deliver a competing training program.
Access to and permitted use of nonpublic training materials are governed by the applicable enrollment, participation, membership, confidentiality, or license agreement.
You agree not to use the Website to:
violate any law, regulation, professional obligation, or third-party right;
submit false, fraudulent, defamatory, harassing, infringing, unlawful, or malicious material;
introduce viruses, malicious code, or other harmful technology;
interfere with the Website’s operation, security, servers, or networks;
attempt to gain unauthorized access to any system, account, form, or data;
collect information about other users without authorization;
use automated means to access or extract Website content in a manner that burdens the Website or circumvents access controls; or
assist another person in doing any of the foregoing.
We may restrict or terminate access to the Website when we reasonably believe these Terms have been violated or access creates a security, legal, or operational risk.
The Website may link to or incorporate services operated by third parties, including FormHippo, YouTube, Google Maps, social-media platforms, payment processors, electronic-signature services, or other websites. Third-party services are governed by their own terms and policies. IMM does not control and is not responsible for the availability, content, security, accessibility, accuracy, or practices of third-party services, except to the extent applicable law provides otherwise.
A link does not necessarily constitute IMM’s endorsement of a third party or all content, products, or services it provides.
Our collection and use of personal information through the Website are described in our Privacy Policy, which is incorporated into these Terms by reference. Please review it before submitting information.
We make reasonable efforts to provide useful and accurate Website information, but information may occasionally be incomplete, outdated, or contain errors. You are responsible for confirming information that is material to your decisions before relying on it.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. IMM DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
Some jurisdictions do not allow the exclusion of certain warranties, so portions of this section may not apply to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, IMM AND ITS OWNERS, AFFILIATES, FACULTY, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE OR YOUR RELIANCE ON WEBSITE CONTENT.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Program-related liability, if any, may also be addressed in the applicable signed enrollment or participation agreement.
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless IMM and its owners, affiliates, faculty, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful or unauthorized use of the Website, your violation of these Terms, or your infringement of another person’s rights.
This section does not apply to the extent a claim results from conduct for which IMM cannot lawfully disclaim responsibility.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Subject to any different dispute-resolution provision in a signed agreement, any legal action arising solely from these Website Terms must be brought in a state or federal court with appropriate jurisdiction in Pinellas County, Florida, and the parties consent to the jurisdiction of those courts.
We may update these Terms periodically. Updated Terms will be posted on this page with a revised “Last updated” date. Changes apply prospectively when posted unless applicable law requires otherwise. Your continued use of the Website after updated Terms are posted constitutes acceptance of the revised Terms.
If any provision of these Terms is found unenforceable, it will be modified only to the minimum extent necessary or severed, and the remaining provisions will remain in effect. IMM’s failure to enforce a provision is not a waiver of its right to do so later.
You may not assign your rights or obligations under these Terms without IMM’s prior written consent. IMM may assign these Terms in connection with a reorganization, merger, sale, transfer of assets, or change in the operation of the Website.
These Terms and the Privacy Policy constitute the entire agreement between you and IMM concerning use of the Website. They do not replace any application, enrollment, participation, confidentiality, membership, clinical, payment, or other agreement separately entered into by you and IMM, Priority You MD, or another provider.
